TERMS AND CONDITIONS

All prices herein supersede all prior price lists and are subject to change without notice. Wellborn may also discontinue, without notice, the sale of any of the products listed

herein. Wellborn also may make changes in specifications of any of its products without notice.

The sale of Wellborn products are made subject to the terms and conditions listed below, and to any change in these terms and conditions as published by Wellborn.

ORDERS will be accepted only through Direct Connect at

www.wellbornandyou.com

. Such orders shall be accepted and processed per the buyer’s request. Confirmations

are located on Direct Connect for review. If changes are not made during the change period that signifies the acceptance of the order. All trailerload orders should be a

minimum of 2500 cubes. Maximum cubage for a 48 foot trailer is 2700 cubes. Maximum cubage for 53 foot trailer is 3300 cubes.

RUSH – All rush orders must be approved by Wellborn Customer Serivce. Rush orders must be specified prior to order entry. All rush orders are final – no changes are

allowed. Curved door cabinetry, island hoods, wood hoods, islands, wainscot, custom appliance panels, stains and other items listed in the Rush Program Guidelines are

excluded from the Rush Program. These items will receive standard lead time for shipment.

Order modification and cancellation must be done within the 24 hour change time from order cut off. (Not order confirmation)

QUOTES on KITCHENS–Wellborn Cabinet does not provide quotations to orders. Please note that ALL orders sent to Wellborn will be processed as an “order”. The “Order

Confirmation” received after submitting an order is to be used for verification of order accuracy and to cancel an order within 24 hour change period. For order quotations,

see your local Wellborn Sales Representative or local Wellborn Dealer.

SHORTAGES or VARIANCES – A signed delivery receipt will indicate a complete shipment with no shortages.

CREDIT APPROVAL – Dealer orders are accepted subject to credit investigation and approval and delivery may be withheld or shipments stopped in transit on accepted

orders without any liability on Wellborn’s part if, in its opinion, the dealer’s ability to pay for the merchandise on these terms and conditions is in doubt.

DELIVERY – (common carrier) Delivery to the initial carrier shall constitute delivery to the dealer. Wellborn’s responsibility ceases upon delivery in good order to such

carrier, and all merchandise is shipped at the customer’s risk. The dealer is urged to inspect all deliveries very carefully before signing transportation receipts. If goods are

visibly damaged, the dealers should insist that written confirmation of the damage be noted on the freight bill of the carrier. If damage is discovered after unpacking, the

carrier should be notified at once so that inspection can be made and the claimed damages be verified by the carrier.

Wellborn will not be liable for any delay or failure in the delivery of goods against an accepted order or for any damage suffered by reason thereof when such delays or

failure are directly or indirectly due to accident (in manufacturing or otherwise), fire, flood, riot, war, embargo, labor stoppages, inadequate transportation facilities, short-

ages of material or supplies, delay or default on the part of its vendors, regulations by Government Authority, or any like or dissimilar cause or causes beyond its control.

PRICE – Merchandise sold by Wellborn will be billed to the dealer according to the price and terms contained in its publications. In the case of orders for goods for which

there is no price currently in effect, the price will be determined by Wellborn and advised to the buyer on a case by case basis.

“SPECIALS” – Any cabinet requested that does not appear on our price list is subject to prior approval and at a special price. Any special cabinet cannot be returned or

cancelled after the order is placed.

TAXES – Any tax or other Government charge now or hereafter levied upon the production, sale, use or shipment of merchandise ordered or sold will be charged to and

paid for by the buyer.

WARRANTY – Except where a different express written warranty has been issued with respect to particular products, no warranty, expressed or implied, is extended by Wellborn

to any person or persons other than its distributors and other direct buyers. To direct buyers Wellborn warrants only that it will furnish the product or, at its option, repair any

product of its manufacture or part or portion thereof, proved to its satisfaction to be defective in material or workmanship under normal use and service within ten (10)

years of Wellborn Dealer’s original date of purchase on the Premier Series and the Select Series. Wellborn will not be responsible for any damages whatsoever or for

labor expense in connection with the replacement of defective products or parts or portions thereof.

The Select Series has a machine sanded finishing process and does not include the detailed hand sanding technique featured in the Wellborn Collection. Therefore, Wellborn

Cabinet, Inc., does not recommend designs combining these series. Wellborn Cabinet, Inc., does not warrant finish matching between the Home Concepts or Select Series

and the Premier Series due to differences in wood characteristics and finishing processes. Any claim arising from or related to cabinet finish matching in such blended or

mixed designs is specifically and expressly not covered under any warranty provision.

This warranty is in lieu of all other warranties, expressed or implied, and of all other obligations or liabilities on the part of Wellborn. Wellborn neither assumes nor

authorizes any other person to assume for it any other liabilities in connection with the sale of its products except in the case of express warranties, which may be issued

by it in writing from time to time with respect to particular products. Please see dealer for complete warranty details.

NOTE: All cabinets should be verified by customer upon delivery. Once installed at jobsite, Wellborn Cabinet, Inc., will not allow cabinets to be returned for credit.

KCMA means “Minimum HUD Approved”

--The kitchen and bath cabinets of the manufacturers listed in the KCMA Directory comply with ANSI/KCMA A 161.1-

2000, “Recommended Performance and Construction Standards for Kitchen and Vanity Cabinets.” The cabinets also comply with the provision of paragraph 611-1.1,

“HUD Minimum Property Standards–Housing 4910.1”, 9/8/86.
